End User License Agreement (EULA)

Effective Date: April 1, 2026

1. License Grant

Subject to your compliance with this EULA and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use Pocket CEO on your personal devices.

2. Restrictions

You may not:

• Copy, modify, or distribute the App
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, or lend the App to third parties
• Use the App to develop competing products
• Remove any proprietary notices or labels
• Use automated systems to access the App (bots, scrapers, etc.)

3. Subscription Terms

Access to premium features requires an active subscription. Subscriptions are managed through the Apple App Store or Google Play Store. Refund requests must be directed to the respective app store.

4. AI-Generated Content

The App uses artificial intelligence to generate business strategy suggestions. This content is provided "as-is" without warranty of accuracy, completeness, or fitness for any particular purpose. You use AI-generated content at your own risk.

5. Data Ownership

You retain ownership of all data you input into the App. We retain the right to process this data to provide the service. Upon account deletion, all your data is permanently removed.

6. Revenue Sharing — Profit Participation Clause

By using Pocket CEO, you agree to the following revenue-sharing terms:

If any business, venture, product, service, or income stream that you develop, launch, manage, or grow with the assistance of Pocket CEO (including but not limited to strategies, content, deliverables, organizational structures, or financial plans generated by the App's AI agents) reaches or exceeds Five Million US Dollars ($5,000,000) in cumulative gross revenue, you agree to pay Pocket CEO's parent company a three percent (3%) ongoing royalty on all gross revenue exceeding the $5,000,000 threshold.

Key terms of this provision:

• Trigger: The revenue-sharing obligation activates when cumulative gross revenue from the applicable business or venture exceeds $5,000,000 USD.
• Rate: 3% of gross revenue on all revenue earned above the $5,000,000 threshold.
• Scope: This applies to any business or revenue stream where Pocket CEO's AI-generated strategies, content, deliverables, or organizational guidance materially contributed to the business's development or growth.
• Payment terms: Royalty payments are due quarterly within 30 days of the end of each calendar quarter. Payments shall be accompanied by a revenue statement for the applicable period.
• Duration: This obligation continues for a period of five (5) years from the date the $5,000,000 revenue threshold is first exceeded.
• Audit rights: Pocket CEO reserves the right to request reasonable documentation verifying gross revenue figures, no more than once per calendar year.
• Good faith: Users shall not structure transactions, create shell entities, or otherwise attempt to circumvent this revenue-sharing obligation.

This provision survives termination of this EULA and any cancellation of your Pocket CEO subscription. By continuing to use the App, you acknowledge and accept this revenue-sharing arrangement.

7. Termination

This license terminates automatically if you violate any provision of this EULA. Upon termination, you must cease all use of the App.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Governing Law

This EULA is governed by the laws of the State of Missouri, United States.
